Well, they don't work after you take on an evil god thing with 0 HP spurned only by an extreme adrenaline rush...

I thought phenoix downs revived when they fainted sorda like pokemon, they dont die, they just faint or pass out

In some games, it removes the KO status, but it's usually a status relating to death.

And I mean, if an enemy casts death on you, and you faint... that's kind of weird.

Pretty sure KO status is 戦闘不能 (sentō funō, "unable to battle"), it definitely is in FF4. I guess the "Death" spell is called that to try and drive home the "instant" part.
